Terms of Service and Conditions of Use

Please read these terms carefully before using Vocal Engine. By installing or using the software, you agree to these conditions.

1. Acceptance of Terms

By downloading, installing, accessing, or using Vocal Engine, you agree to be bound by these Terms of Service, the Disclaimer, and any additional policies referenced on the website or included with the software. If you do not agree to these Terms, you must not install, access, or use Vocal Engine.

These Terms form a legally binding agreement between you and the developer, publisher, or operator of Vocal Engine. You are responsible for reviewing these Terms periodically and for discontinuing use of the software if you do not agree with any future changes.

2. Description of the Software

Vocal Engine is a locally installed desktop software application for synthetic speech generation, voice design, voice cloning, transcription, audio enhancement, and related audio-processing workflows. It may include, without limitation, prompt-based voice creation, reference-based voice cloning, speech generation, waveform processing, transcription, enhancement, export, and related model-driven features.

Vocal Engine is a general-purpose tool. It is not intended to provide legal advice, compliance assurance, or verification that any specific use of generated or cloned voices is lawful, ethical, non-infringing, or suitable for any commercial, personal, or public deployment.

3. Eligibility and Legal Capacity

You represent and warrant that you are legally capable of entering into this agreement and that your use of Vocal Engine is permitted under the laws and regulations applicable in your jurisdiction.

If you are using Vocal Engine on behalf of a company, organization, studio, agency, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, in which case "you" includes that entity.

4. License Grant

Subject to your compliance with these Terms, you are granted a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use Vocal Engine for lawful personal or commercial purposes.

This license does not grant you any ownership rights in Vocal Engine, its code, branding, models, bundled assets, interface, design, or documentation, except to the limited extent expressly stated in these Terms.

5. Restrictions on Use

You may not, except where expressly permitted by applicable law:

  • copy, reproduce, distribute, sublicense, lease, resell, or commercially exploit Vocal Engine itself;
  • remove copyright, trademark, attribution, warning, or proprietary notices;
  • use the software in violation of any applicable law, regulation, court order, platform rule, or third-party right;
  • use the software to create, distribute, or facilitate unlawful, fraudulent, misleading, deceptive, defamatory, harassing, abusive, or harmful content;
  • use the software in a way that infringes intellectual-property, publicity, privacy, personality, neighboring, performer, or other rights;
  • use the software to impersonate a person, brand, public authority, business, institution, employee, contractor, creator, artist, or other identifiable source without authorization.
6. Acceptable Use Policy

You agree to use Vocal Engine only in a lawful, authorized, and ethical manner. Without limitation, you must not use Vocal Engine to:

  • clone, simulate, imitate, approximate, or digitally replicate a real person’s voice without all required rights, permissions, and consents;
  • create audio that falsely implies endorsement, authorization, affiliation, sponsorship, or origin;
  • create deceptive or misleading voice content for scams, fraud, phishing, social engineering, misinformation, harassment, extortion, impersonation, or identity abuse;
  • create synthetic audio intended to mislead listeners into believing it is an authentic human recording where disclosure is legally or ethically required;
  • process copyrighted, private, confidential, or restricted content without authorization;
  • evade platform policies, moderation rules, disclosure obligations, or legal requirements related to AI-generated content, synthetic media, or deepfakes.

Because laws and transparency obligations around synthetic/deepfake content are evolving, including in the EU, you are solely responsible for determining whether disclosure, labeling, consent, or additional restrictions apply to your use case.

7. Voice Cloning, Digital Replica, and Impersonation Risks

Vocal Engine may enable the creation of synthetic or cloned voice outputs that resemble, evoke, simulate, imitate, or are perceived as similar to a real individual’s voice, vocal identity, style, cadence, tone, or recognizable characteristics.

You acknowledge that voice cloning and digital voice replication present substantial legal and practical risks, including risks involving:

  • impersonation;
  • false endorsement or false association;
  • publicity, personality, image, or likeness-related claims;
  • copyright or neighboring-rights disputes;
  • privacy and consent disputes;
  • fraud, deception, or consumer-protection issues;
  • reputational, commercial, and emotional harm.

Regulators and policy bodies have specifically highlighted harms from AI-enabled voice cloning and digital replicas, and these risks are not theoretical.

You are solely responsible for evaluating whether your use of any reference voice, cloned voice, or generated output is lawful and permitted. The developer does not verify the identity of any speaker, the source of any reference material, the authenticity of any permission, or the legality of any output.

8. Rights, Permissions, and Consents

You must obtain and maintain all rights, licenses, permissions, releases, waivers, and consents necessary to use any material with Vocal Engine, including but not limited to:

  • voice recordings;
  • reference audio;
  • source clips;
  • scripts and text;
  • datasets;
  • music, effects, or other audio elements;
  • names, personas, brands, or identifiable vocal styles where rights may be implicated.

You represent and warrant that you have the legal right to use all inputs you provide to the software and to create, process, clone, or distribute any resulting outputs.

If your use involves a real person’s voice, you are solely responsible for obtaining any consent required by contract, employment law, privacy law, personality/publicity law, platform policy, or other applicable law.

9. User Content and Output Responsibility

All prompts, scripts, audio files, reference material, recordings, generated outputs, clones, transcripts, enhancements, exports, and related materials processed through Vocal Engine are your sole responsibility.

You are solely responsible for:

  • input selection;
  • output review;
  • factual accuracy of content;
  • legality of use;
  • disclosures to listeners or audiences where required;
  • downstream publication, sharing, synchronization, monetization, or distribution.

The developer does not review, approve, moderate, supervise, or guarantee the legality, safety, quality, or appropriateness of user-generated or user-processed content.

10. Local Processing; No Monitoring; No Custody

Vocal Engine is designed to operate locally on the user’s machine. Subject to the installation and update process you configure, the software processes content based on local user input and local execution.

The developer does not continuously monitor your local processing, does not take editorial responsibility for your content, and does not assume custody or control over the outputs you generate.

To the extent any installation, update, crash-reporting, telemetry, or download process exists, it is governed by the applicable privacy disclosures and configuration options made available to users.

11. AI Models, Third-Party Components, and External Dependencies

Vocal Engine may rely on third-party models, frameworks, libraries, runtimes, codecs, and related dependencies. Those components may be governed by separate licenses, terms, attribution requirements, restrictions, or disclaimers.

Your use of such components may be subject to their own legal conditions. Nothing in these Terms grants rights beyond those allowed by applicable third-party licenses.

The developer makes no independent warranty regarding third-party models, frameworks, or dependencies, including their availability, legality, suitability, or performance in your particular environment.

12. No Legal Advice; No Compliance Guarantee

No part of Vocal Engine, its documentation, website, sample outputs, demonstrations, FAQs, examples, benchmarks, or marketing materials constitutes legal advice, regulatory advice, or compliance assurance.

Any examples of voice design, voice cloning, localization, dubbing, content production, character creation, or other use cases are illustrative only and do not mean those uses are lawful in your jurisdiction or with your source material.

You remain solely responsible for obtaining professional legal advice where appropriate.

13. Transparency, Disclosure, and Audience Communication

You are solely responsible for determining whether and when AI-generated or cloned audio must be disclosed, labeled, watermarked, or otherwise communicated as synthetic under applicable law, contract, platform rule, industry norm, or audience expectation.

This is particularly relevant for deepfakes, digital replicas, public-interest content, political or commercial messaging, advertising, consumer-facing communications, and any use likely to create confusion. EU rules already include transparency obligations in some cases for synthetic or deepfake content.

14. Installation, Updates, and Changes to Models or Features

The developer may modify, suspend, replace, or discontinue any feature, bundled model, installer behavior, dependency, system requirement, or compatibility layer at any time.

Updates may change performance, outputs, compatibility, installation steps, model behavior, hardware requirements, quality, latency, or generated results. You are responsible for reviewing release notes and maintaining appropriate backups, test procedures, and operational safeguards before using outputs in production.

15. No Warranty

Vocal Engine is provided "as is," "as available," and "with all faults."

To the fullest extent permitted by applicable law, the developer disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • quiet enjoyment;
  • title;
  • accuracy;
  • reliability;
  • availability;
  • compatibility;
  • security;
  • uninterrupted operation;
  • error-free operation;
  • output quality or fitness for publication, monetization, localization, production, or compliance use.

The developer does not warrant that the software will meet your needs, achieve any intended result, avoid resemblance to real people, or remain compliant with any future law or platform policy.

16. Performance Disclaimer

Performance depends on your hardware, drivers, operating system, storage, memory, GPU, CPU, available VRAM, local configuration, models in use, and file I/O conditions.

Model loading, unloading, caching, audio enhancement, transcription, temporary file creation, and other local operations may introduce delays, resource spikes, or quality variations. The developer does not guarantee any particular speed, latency, throughput, output quality, or hardware efficiency.

17. Limitation of Liability

To the fullest extent permitted by law, the developer, publisher, owner, affiliates, licensors, contributors, and distributors of Vocal Engine shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, statutory, or enhanced damages, or for any loss of profits, revenue, goodwill, business, opportunity, data, reputation, expected savings, or commercial advantage, arising out of or related to:

  • your use of or inability to use Vocal Engine;
  • any output created with Vocal Engine;
  • voice cloning, digital replication, or synthetic speech results;
  • any alleged resemblance to a real person’s voice;
  • legal, regulatory, contractual, or platform disputes;
  • takedowns, suspensions, demonetization, moderation actions, or content removals;
  • fraud, impersonation, deception, or misuse by you or any third party;
  • hardware, driver, or compatibility issues;
  • output inaccuracies, hallucinations, defects, or unsuitable results.

If liability cannot be excluded, it shall be limited to the maximum extent permitted by applicable law.

18. No Liability for Misuse, Fraud, or Illegal Acts

The developer shall have no responsibility or liability for any misuse of the software, including but not limited to:

  • unauthorized voice cloning;
  • impersonation of individuals, businesses, or public authorities;
  • fraud, scams, phishing, or social engineering;
  • misinformation or deceptive communications;
  • copyright or personality-rights violations;
  • privacy violations;
  • unlawful commercial exploitation;
  • any resulting personal, reputational, emotional, or financial harm.

Regulators have already treated impersonation and voice-cloning harms as serious consumer-protection concerns, which is why these restrictions should be explicit in your Terms.

19. Indemnification

You agree to defend, indemnify, and hold harmless the developer, publisher, owner, affiliates, licensors, contributors, and distributors of Vocal Engine from and against any and all claims, demands, actions, proceedings, investigations, liabilities, losses, damages, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your use of the software;
  • your generated, processed, cloned, or distributed content;
  • your violation of these Terms;
  • your violation of any law, regulation, or third-party right;
  • your failure to obtain required rights, permissions, or consents;
  • any allegation of impersonation, infringement, deception, privacy violation, defamation, or harm caused by your outputs or activities.
20. Intellectual Property in the Software

All rights, title, and interest in and to Vocal Engine, including its software, design, interface, branding, documentation, bundled assets, and associated proprietary materials, remain with the developer or its licensors.

Except for the limited license expressly granted in these Terms, no right, title, or interest is transferred to you.

21. User Feedback

If you submit ideas, feature requests, suggestions, bug reports, or other feedback, you grant the developer a perpetual, irrevocable, worldwide, royalty-free right to use, reproduce, modify, and incorporate that feedback without restriction or compensation, unless otherwise required by law.

22. Termination

These Terms remain in effect until terminated.

The developer may suspend, terminate, or restrict your rights under these Terms if you breach them, if continued use would create legal or security risk, or if required by law.

Upon termination, you must stop using the software to the extent required by applicable law and these Terms. Sections that by their nature should survive termination shall survive, including sections on liability, indemnification, ownership, and dispute-related provisions.

23. Changes to the Terms

The developer may modify these Terms from time to time. Updated Terms may be posted on the website, bundled with the software, or otherwise made available to users.

By continuing to use Vocal Engine after updated Terms become effective, you agree to the revised Terms.

24. Governing Law and Jurisdiction

These Terms shall be governed by the laws designated by the developer in the applicable legal notice, excluding conflict-of-laws principles to the extent permitted.

You are responsible for compliance with all local laws applicable to your own use. Because voice cloning, digital replica, and deepfake-related rules vary by jurisdiction and are evolving, you must independently confirm the legality of your use in every territory where you create, distribute, or make outputs available.

25. Severability

If any provision of these Terms is found unenforceable or invalid, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

26. Entire Agreement

These Terms, together with the Disclaimer, Privacy Policy, and any referenced legal notices, constitute the entire agreement between you and the developer regarding Vocal Engine, except where additional written agreements expressly apply.
