Vocal Engine, including all related software, models, features, tools, documentation, and generated outputs, is provided on an "as is," "as available,"" and "with all faults" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, the developer, publisher, owner, affiliates, licensors, contributors, and distributors of Vocal Engine expressly disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, performance, security, compatibility, uninterrupted operation, or suitability of any generated or processed audio, voice clone, synthetic speech output, transcript, enhancement result, or related content.

Vocal Engine is a general-purpose local software tool for synthetic speech generation, voice design, voice cloning, transcription, audio enhancement, and related processing. The software can be used to create, imitate, transform, or reproduce voice-like outputs. Because of this, the software may present significant legal, ethical, reputational, and commercial risks if used improperly. By downloading, installing, accessing, or using Vocal Engine, you acknowledge and agree that you are solely and exclusively responsible for all use of the software and for all content, outputs, files, recordings, datasets, prompts, reference audio, cloned voices, generated speech, exports, distributions, publications, transmissions, performances, commercial uses, and other materials created, processed, or handled through the software.

You are solely responsible for ensuring that you have all necessary rights, licenses, permissions, consents, and legal authority to upload, process, reproduce, imitate, clone, synthesize, modify, distribute, publish, commercialize, or otherwise use any voice, recording, identity, likeness, persona, script, or audio material used with Vocal Engine. This includes, without limitation, obtaining valid permission from any individual whose voice is used as a reference or whose vocal identity, distinctive speaking style, vocal likeness, or recognizable personal attributes may be replicated, simulated, approximated, or evoked through generated output.

You must not use Vocal Engine for unlawful, fraudulent, deceptive, harmful, defamatory, misleading, abusive, exploitative, infringing, or unauthorized purposes. Prohibited uses include, without limitation: impersonating any person without valid consent; creating deceptive or misleading audio intended to imitate a real individual; bypassing rights management or ownership controls; violating privacy, publicity, personality, consumer-protection, intellectual-property, unfair-competition, employment, defamation, fraud, deepfake, or related laws; misrepresenting generated audio as authentic human speech where disclosure is required; creating false endorsements; misleading audiences, employers, clients, customers, platforms, institutions, or the public; or using the software in any way that causes or contributes to unlawful harm, economic loss, reputational damage, emotional distress, or regulatory violations.

Voice cloning presents particular legal and practical risks. A generated voice may resemble, imitate, evoke, or be mistaken for a real person’s voice even where that result was unintended, approximate, incomplete, transformed, stylized, or generated from limited material. The developer does not verify whether you are authorized to use any reference voice, recording, or identity. The developer does not determine whether your outputs infringe any rights, violate any law, or create a risk of deception. You alone assume full responsibility for evaluating whether any use of voice cloning technology is lawful, authorized, ethical, and appropriate in your jurisdiction and use case.

The developer does not endorse, authorize, monitor, review, screen, supervise, or control user inputs or outputs. Vocal Engine operates locally on the user’s machine and processes content based on user-supplied data, prompts, settings, and files. The developer does not assume custody, editorial control, or responsibility for user-generated or user-processed content. Any storage, transmission, sharing, monetization, synchronization, publication, distribution, or downstream use of generated or cloned audio is undertaken entirely at your own risk and under your sole responsibility.

To the fullest extent permitted by applicable law, the developer, publisher, owner, affiliates, licensors, contributors, and distributors of Vocal Engine shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, statutory, or enhanced damages, nor for any loss of profits, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of data, corruption of data, interruption of operations, hardware issues, model failures, security incidents, legal claims, regulatory actions, fines, penalties, settlement costs, reputational harm, emotional distress, third-party claims, or any other damages or liabilities arising out of or related to:

• (i) the use of or inability to use Vocal Engine;
• (ii) any outputs generated by the software;
• (iii) voice cloning or synthetic speech results;
• (iv) unlawful, unauthorized, or harmful use by any user;
• (v) reliance on any generated content;
• (vi) copyright, neighboring-rights, trademark, publicity, personality, privacy, consumer-protection, or other legal disputes;
• (vii) platform takedowns, account restrictions, demonetization, moderation actions, or content removals; or
• (viii) any misuse, misrepresentation, fraud, deception, or illegal activity carried out with the aid of the software.

You agree to defend, indemnify, and hold harmless the developer, publisher, owner, affiliates, licensors, contributors, and distributors of Vocal Engine from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, losses, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to: your use of the software; your violation of any law, regulation, policy, or third-party right; your use of any voice, recording, dataset, prompt, transcript, output, or clone; your failure to obtain required permissions or consents; or any allegation that your use, content, or outputs caused harm, confusion, impersonation, infringement, deception, or other unlawful effects.

No statement, description, example, benchmark, demo, sample, marketing material, feature explanation, or documentation provided in connection with Vocal Engine shall be interpreted as legal advice, compliance advice, or a representation that any particular use case is lawful, safe, non-infringing, or fit for deployment. Any examples provided are illustrative only. You are solely responsible for obtaining professional legal advice where appropriate and for ensuring compliance with all applicable local, national, and international laws and regulations before using the software in personal, public, commercial, professional, or regulated contexts.

By downloading, installing, accessing, or using Vocal Engine, you acknowledge that voice cloning and synthetic voice generation may create significant legal and ethical consequences, that you assume all such risks, and that you accept full responsibility for all outputs and downstream uses. If you do not agree to these terms, you must not install, access, or use Vocal Engine.

2. NO WARRANTY

Vocal Engine, including all associated software, models, tools, features, and outputs, is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory.

To the fullest extent permitted by applicable law, the developer disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, performance, or availability.

The developer does not guarantee that the software will operate uninterrupted, error-free, or produce results suitable for any specific use case. All generated audio, voice outputs, and processing results are provided without any guarantee of correctness, legality, or usability.

3. USER RESPONSIBILITY

You are solely responsible for all use of Vocal Engine and any content created, processed, or distributed using the software.

This includes, without limitation:

• voice recordings and reference audio
• generated speech and cloned voices
• prompts, scripts, and datasets
• exported and published content
• You are fully responsible for ensuring that your use complies with all applicable laws, regulations, and third-party rights.
• The developer does not monitor, review, or control user activity or generated outputs and assumes no responsibility for user behavior or content.

4. VOICE CLONING AND IMPERSONATION RISKS

Vocal Engine enables the creation of synthetic voices and voice clones that may resemble real individuals. This technology carries significant legal, ethical, and reputational risks.

You must not use Vocal Engine to:

• impersonate any individual without explicit consent
• create misleading or deceptive audio
• simulate real persons in a way that could cause confusion or harm
• falsely represent generated voices as real human recordings

Even unintended similarity to real voices may result in legal consequences. You are solely responsible for evaluating and preventing such risks.

The developer does not verify voice ownership, consent, or legality of usage and assumes no responsibility for any resulting claims or damages.

5. INTELLECTUAL PROPERTY AND RIGHTS

You are solely responsible for ensuring that you have all necessary rights, licenses, and permissions to use any audio material, voice data, or content processed with Vocal Engine.

This includes:

• voice recordings of individuals
• copyrighted audio material
• datasets and training sources
• any recognizable vocal identity or style

Unauthorized use may violate intellectual property rights, personality rights, or privacy laws. The developer assumes no responsibility for any such violations.

6. LIMITATION OF LIABILITY

To the fullest extent permitted by law, the developer shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from the use or inability to use Vocal Engine.

This includes, but is not limited to:

• legal claims or regulatory actions
• financial loss or loss of revenue
• reputational damage
• misuse of generated audio
• intellectual property disputes
• data loss or system issues

All risks associated with the use of the software are assumed entirely by the user.

7. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the developer from any claims, damages, liabilities, costs, or expenses arising from:

• your use of Vocal Engine
• your generated or distributed content
• violation of any law or third-party rights
• unauthorized voice cloning or impersonation

This includes reasonable legal fees and any resulting damages or settlements.

8. NO MONITORING AND LOCAL PROCESSING

Vocal Engine operates locally on your device and processes data based entirely on user input.

The developer does not:

• monitor user activity
• store or access generated content
• control how outputs are used or distributed

All generated content remains under the full control and responsibility of the user.

9. ACCEPTABLE USE

You agree to use Vocal Engine only for lawful and ethical purposes.

You must not use the software to:

• impersonate individuals without consent
• create fraudulent or misleading content
• violate intellectual property or privacy rights
• engage in illegal, harmful, or deceptive activities

Any misuse of the software is strictly prohibited and remains the sole responsibility of the user.

Use Vocal Engine responsibly. You must not impersonate individuals, mislead others, or violate applicable laws. All generated content is your responsibility.
